Terms of Use

IMPORTANT: OptionKrafter is an educational and analytical platform. It is not a broker, investment adviser, fiduciary, or trading venue. All Krafter Bot activity is simulated paper trading only.

Key changes in this version (September 2026): Backtest resolution is now stated per data era — backtest windows starting April 3, 2023 or later may be evaluated minute by minute on historical 1-minute option trade data (automatically, on paid plans, for non-Wheel strategies, subject to data availability), while earlier windows, Wheel strategies, and the Free plan are evaluated at end-of-day granularity; each run records which resolution applied. Minute-resolution fill, stop, and profit-target behavior is stated in Section 7. Prior changes (August 2026): Backtest fills now follow a disclosed execution model (per-leg slippage, configurable per strategy) instead of assuming midpoint fills; each run records the assumptions it used, and results show a realistic figure alongside a pure-midpoint reference figure. Commissions are configurable per strategy and default to zero. Stop and profit-target behavior at end-of-day granularity is stated explicitly. Assumptions about per-trade delta/IV values and stock-split adjustments, previously disclosed on the run pages, are now stated in Section 7 as well.

These Terms of Use ("Terms") govern your access to and use of the OptionKrafter website, web application, software, tools, content, and related services collectively referred to as the "Service."

The Service is owned and operated by SynapseSkytech LLC, a Texas limited liability company doing business as OptionKrafter ("OptionKrafter," "we," "us," or "our").

By creating an account, purchasing a subscription, clicking to accept these Terms, or otherwise accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not access or use the Service.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service.

By using the Service, you represent and warrant that:

You are at least 18 years old;

The registration and billing information you provide is accurate and complete;

Your use of the Service is permitted under the laws applicable to you;

You are not prohibited from receiving the Service under United States export-control or sanctions laws; and

You will use the Service only for lawful purposes.

The Service is not directed to children under 18.

2. Geographic Availability

OptionKrafter may permit users located outside the United States to create accounts where legally permitted. However, the Service is designed primarily for educational analysis of securities traded in the United States. OptionKrafter does not support non-U.S. securities, cryptocurrency, futures, foreign exchange, or other asset classes unless expressly stated.

You are responsible for determining whether your use of the Service is lawful in your country, state, province, or other jurisdiction.

3. What OptionKrafter Provides

OptionKrafter provides educational, analytical, and simulated trading tools relating to stocks and options, including:

Historical options-strategy backtesting;

Theoretical profit-and-loss visualization;

Stock screening;

Watchlists;

Delayed market-data displays;

Educational articles and strategy explanations;

AI-assisted interpretation of user-entered strategy and screener descriptions;

Simulated paper-trading tools known as Krafter Bots; and

Related portfolio-analysis and research functionality.

The Service allows you to create, test, visualize, and evaluate trading rules and hypothetical strategies selected by you. We may add, change, restrict, or discontinue features at any time as described in these Terms.

4. Not a Broker, Investment Adviser, or Fiduciary

OptionKrafter is not a broker-dealer, investment adviser, commodity trading adviser, financial planner, fiduciary, exchange, trading venue, or financial institution.

OptionKrafter:

Does not hold, control, transfer, or manage user funds or securities;

Does not open or maintain brokerage accounts;

Does not place, transmit, route, modify, cancel, or execute real trades;

Does not connect Krafter Bots to a real brokerage account;

Does not select trades for users;

Does not recommend that users buy, sell, or hold a security;

Does not determine whether a strategy is suitable or appropriate for a user;

Does not manage portfolios or exercise discretionary trading authority; and

Does not provide individualized investment, financial, legal, accounting, or tax advice.

Nothing available through the Service constitutes investment advice, a securities recommendation, an offer to buy or sell a security, a solicitation of an offer, a representation that a strategy is suitable for you, a prediction of market performance, or a guarantee of profit or protection against loss.

You independently choose every strategy, security, parameter, trigger, entry condition, exit condition, and paper-trading rule. You are solely responsible for your financial and investment decisions. Consult appropriately licensed professionals before making financial, tax, or legal decisions.

5. Options and Investment Risk

Stocks and options involve substantial risk and are not suitable for every investor. Options may expire worthless. Depending on the strategy, losses may include the full amount paid, the full amount committed, losses substantially greater than premium received, or theoretically unlimited losses.

You are responsible for understanding assignment and exercise, early exercise, expiration, liquidity, bid-ask spreads, volatility, margin and collateral requirements, dividend and corporate-action risk, tax consequences, maximum potential loss, and whether a strategy is appropriate for your circumstances.

Educational descriptions, labels, examples, calculations, or risk classifications may be simplified or incomplete. They are not substitutes for professional advice or independent research.

6. Historical, Hypothetical, and Simulated Results

Backtests, paper trades, payoff diagrams, projections, model prices, statistics, profit-and-loss calculations, and similar outputs are hypothetical, theoretical, or simulated. They do not represent actual trades placed in a brokerage account.

Historical and simulated results have significant limitations, including:

Historical performance does not indicate future performance;

Simulated trading does not fully reflect market pressure or the emotional and financial consequences of actual trading;

Strategies may have been created, selected, or adjusted using knowledge of historical events;

Market conditions may change;

Liquidity and bid-ask spreads may differ;

An available historical contract may not have been practically tradable;

Real orders may be rejected, partially filled, delayed, or filled at different prices;

Data may contain errors, omissions, adjustments, or gaps;

Corporate actions and symbol changes may not always be represented perfectly; and

No real account is likely to achieve exactly the same result.

You must not present OptionKrafter backtest or paper-trading results as verified real-money performance. OptionKrafter makes no representation that a user will achieve results similar to any result displayed through the Service.

7. Backtest Assumptions

Unless a feature expressly states otherwise:

Backtests use historical options data at one of two resolutions, and each run records which applied: end-of-day data for all backtest windows reaching earlier than April 3, 2023, for Wheel strategies, and for the Free plan; and historical 1-minute option trade data ("minute resolution") for other backtest windows starting April 3, 2023 or later on paid plans, selected automatically and subject to data availability (a run may evaluate at end-of-day while minute data for a security is still being prepared, and individual days lacking minute data fall back to end-of-day and are counted on the run);

At end-of-day resolution, backtests operate at daily granularity, except where a rule expressly references the underlying's intraday high or low; where intraday data is unavailable, such rules are evaluated on the close, and the run discloses how often this occurred;

At end-of-day resolution, a position that crossed a stop or target threshold intraday but recovered by the close will not have exited; at minute resolution, stop, profit-target, and breach rules are evaluated on the minute they are first observed, and a position may open and close on the same day;

Simulated options fills follow a disclosed execution model in which each option leg fills a fraction — configurable per strategy, with defaults set by us — of the way across the day's closing bid–ask spread; at minute resolution the same fraction is applied around the minute's last traded price (no historical minute-level quote data exists), and where no trade printed in a qualifying minute the entry is skipped rather than estimated; the fraction in effect is recorded on each backtest run;

Changes to execution settings apply to runs created afterwards; a completed run retains the assumptions recorded on it;

Where no two-sided closing quote exists, fills use the last traded price, and the run discloses how many fills did so;

Commissions are modeled at a configurable per-contract rate that defaults to zero, charged only on leg-sides that actually transact; expiry settlement is not charged; the rate in effect is recorded on each backtest run;

Alongside its primary ("realistic") result, each run displays a secondary ("optimistic") figure that prices the same simulated trades at the bid–ask midpoint — except for runs created before the execution model was introduced (below); the optimistic figure is a reference calculation, not a result, and no displayed figure is a record of achievable execution;

Exits triggered by a profit target or stop rule are filled no more favorably than the rule's threshold;

Liquidity limitations are not fully modeled;

Market impact is not modeled;

Partial fills and order rejections are not modeled;

Execution delays are not modeled;

Margin calls and broker-specific requirements are not fully modeled;

Strike selections snap to the nearest available listed strike;

Days-to-expiration selections snap to the nearest available listed expiration;

Delta and implied volatility recorded on a trade are end-of-day values — the entry date's close at end-of-day resolution, the prior trading day's close at minute resolution; delta targeting selects the nearest listed strike, and each trade records the values actually obtained;

Positions held across a stock split are adjusted following OCC conventions — strike divided by the split ratio, contract count multiplied — so a split is a bookkeeping event rather than a gain or loss;

Assignment and exercise are simulated using OptionKrafter rules rather than the practices of a particular broker;

Backtest runs created before the execution model was introduced retain the assumptions in effect when they ran and are labeled accordingly;

Results depend on the accuracy and availability of third-party data; and

The available historical period is limited by both data availability and subscription plan.

These assumptions may materially improve or worsen displayed results compared with actual trading. You are responsible for reviewing the saved strategy, date range, parameters, assumptions, trade list, and results.

8. Market Data

Market information may be supplied by one or more third-party providers. Market data may be delayed, cached, adjusted, estimated, modeled, synthetic, incomplete, inaccurate, or temporarily unavailable.

Unless expressly indicated otherwise:

Stock quotes are approximately 15 minutes delayed;

Stock information is not real-time;

Live and current options information is based on end-of-day data;

OptionKrafter does not provide a live or real-time intraday options feed (historical 1-minute option data is used only for backtesting as described in Section 7);

During market hours, the Visualizer and Krafter Bots may use synthetic, theoretical, or model-generated options prices;

Screener market data generally refreshes approximately every 15 minutes during market hours;

Screener fundamentals generally refresh daily;

Technical and calculated screener metrics may use cached information;

Data shown while markets are closed may reflect the previous trading session; and

Some securities or contracts may be unavailable.

Market timestamps and delay disclosures displayed in the Service form part of these Terms. OptionKrafter does not guarantee the accuracy, completeness, timeliness, sequence, availability, or fitness of market data. You must confirm prices and security information through a regulated broker or authoritative market-data source before making an actual investment decision.

9. Market-Data Restrictions

Market data provided through the Service is licensed or obtained for use within OptionKrafter. Unless we expressly authorize otherwise in writing, you may not extract market data in bulk; scrape or systematically download market data; redistribute market data; publish a competing market-data service; resell or sublicense market data; use market data to supply another application; circumvent export or download restrictions; or use automated systems to collect data outside supported OptionKrafter features.

CSV exports available under eligible plans are intended for your personal or internal analytical use. Access to an export feature does not grant ownership of or unrestricted redistribution rights in the underlying market data. Your market-data use may also be subject to restrictions imposed by exchanges and data providers.

10. Krafter Bots Are Paper Trading Only

Krafter Bots provide automated simulated paper trading. They do not submit real orders. They do not connect to a brokerage account. They cannot cause real money or securities to move.

Every Krafter Bot follows rules created and approved by the user, uses simulated paper capital, creates simulated positions, records simulated fills, calculates simulated gains and losses, and operates only within the OptionKrafter paper-trading environment.

Krafter Bot results may be affected by approximately 15-minute-delayed stock prices, synthetic or model-generated options prices, end-of-day options data, simplified fill assumptions, available contracts, evaluation frequency, data-feed gaps, software errors, capital calculations, trigger interpretation, and contract-selection logic.

Krafter Bots generally evaluate conditions every five minutes during regular market hours. A trigger may therefore be recognized after the underlying condition first occurred. A bot may fail to trigger, trigger later than expected, skip a trade, select a nearby listed strike or expiration, pause, enter an error state, experience unavailable data, display an inaccurate mark, or produce results that cannot be reproduced in a real brokerage account.

A successful Krafter Bot simulation does not indicate that the same strategy will be executable, suitable, or profitable in real trading.

11. AI-Assisted Features

OptionKrafter may use artificial intelligence or automated language-processing systems to interpret user descriptions and populate strategy parameters, screener rules, educational explanations, form fields, or similar application content.

AI-assisted output may be inaccurate, incomplete, inconsistent, or unsuitable. AI features do not independently approve strategies, open real trades, or make investment decisions. You must review and approve all generated fields before saving or using them.

You remain responsible for every strategy parameter, screener clause, bot rule, and decision created from AI-assisted output.

Do not submit unnecessary sensitive personal information, brokerage credentials, account numbers, Social Security numbers, payment-card information, health information, or confidential third-party information through an AI description field.

OptionKrafter does not use user prompts to train a public or general-purpose OptionKrafter AI model. We may transmit prompts and related context to contracted AI service providers solely to generate the requested response, maintain security, prevent abuse, troubleshoot failures, or comply with law. Such processing is further described in our Privacy Policy.

12. Accounts

Certain features require an account. You agree to provide accurate and current information, maintain a valid email address, keep credentials confidential, protect devices used to access your account, promptly notify us of suspected unauthorized access, accept responsibility for activity conducted through your account to the extent permitted by law, and use your account only for yourself unless we authorize another arrangement.

You may not sell, transfer, rent, sublicense, or commercially share your account. We may require verification of an email address, identity, payment method, or account ownership.

13. Third-Party Authentication

OptionKrafter may permit account creation or login through third-party identity providers, including Google. Your use of a third-party login method is also subject to the provider's terms and privacy practices. OptionKrafter is not responsible for the availability or security of a third-party authentication provider. You are responsible for maintaining access to the email address or third-party account associated with your OptionKrafter account.

14. Plans and Usage Limits

OptionKrafter currently offers the following plans, as of the Last Updated date above: Free at $0; Starter at $9 per month or $90 per year; Pro at $19 per month or $190 per year; and Power at $39 per month or $390 per year. Applicable taxes may be added.

Plans may include different limits for ticker access, monthly backtests, historical periods, saved strategies, saved screeners, active Krafter Bots, watchlist tickers, exports, and other features. The current plan limits displayed on the OptionKrafter pricing and billing pages control if they differ from a summary elsewhere in the Service.

All plans, including the Free plan, support the same universe of U.S. instruments covered by our data provider; individual securities or contracts may nevertheless be unavailable as described in Section 8.

Monthly usage allowances reset according to the billing or usage period displayed in the account. Unused usage does not roll over unless we expressly state otherwise.

15. Existing Content After a Plan Change

OptionKrafter ordinarily does not automatically delete saved content solely because your plan limit decreases. When your account exceeds an applicable limit, existing content may remain viewable, but you may be prevented from creating additional content, running additional backtests, starting additional bots, or editing and resaving items until usage is reduced or the plan is upgraded.

We do not guarantee that over-limit content will remain available indefinitely after account termination or deletion.

16. Subscription Billing and Automatic Renewal

Paid plans are billed in advance through Stripe or another payment processor we designate, either monthly or annually depending on the billing interval you select at checkout.

By purchasing a paid plan, you authorize OptionKrafter and its payment processor to charge your selected payment method for the initial subscription charge, each automatic renewal at the interval you selected, applicable taxes, and other charges you expressly approve.

Paid subscriptions automatically renew at the end of each billing period — monthly plans each month, annual plans each year — unless canceled before the next renewal date.

The price, billing frequency, renewal terms, and applicable taxes will be disclosed before purchase. Your renewal date is generally the monthly or annual anniversary of your original paid subscription date, subject to payment-processor adjustments.

Free trial. When a free trial offer is active and you start one, your payment card is collected at signup but not charged at that time. When the trial ends, the subscription converts automatically and your card is charged the price of the plan and billing interval you selected, as shown at checkout, unless you cancel before the trial end date shown at checkout and in Settings → Billing. Canceling before the trial end date means you pay nothing. You will receive a reminder email before the trial ends and the first charge is made. Each account is eligible for at most one free trial, regardless of plan or billing interval. Trial availability, length, and terms are promotional and may be changed or withdrawn for future signups at any time.

You are responsible for maintaining a valid payment method. If a payment fails, we may retry the charge, ask you to update payment information, restrict paid features, suspend the subscription, or move the account to the Free plan.

17. Upgrades and Billing-Interval Changes

A subscription upgrade or a change of billing interval (monthly to annual, or annual to monthly) becomes effective immediately. The upgraded features and limits become available after the change is successfully processed. Stripe may charge a prorated amount reflecting the difference between the previous and new plan or interval for the remaining billing period. The amount charged and the next renewal price will be displayed before you confirm the change. Changing plan or billing interval during a free trial does not end the trial: the new selection takes effect immediately, and the first charge, made at the trial end date unless you cancel first, is the new plan and interval's price.

18. Downgrades

A downgrade becomes effective at the end of the current paid billing period — for annual plans, the end of the paid year. You will retain your existing paid plan until that period ends. At the next renewal date, the selected lower plan or Free plan will apply. Downgrading during a free trial does not end the trial: the lower plan's features apply, and the first charge, made at the trial end date unless you cancel first, is the lower plan's price. Downgrading may reduce available features and usage limits. Content above the new limit may remain visible, but actions exceeding the lower plan's limits may be restricted.

19. Cancellation

You may cancel your subscription in the Stripe billing portal, reached through Settings → Billing → "Manage in Stripe". You may also contact [email protected] when you cannot access the billing interface.

Cancellation prevents future renewal charges after cancellation becomes effective. Unless otherwise expressly disclosed, you retain access to your paid plan until the end of the current paid billing period (for annual plans, the end of the paid year); your account then moves to the Free plan; cancellation does not immediately terminate access; cancellation does not automatically delete your account; and no additional subscription charge will be made after the effective cancellation date.

You must cancel before the displayed renewal date to avoid the next charge. During a free trial, you must cancel before the trial end date to avoid any charge; canceling during the trial ends paid access at the trial end date and no charge is made.

20. Refund Policy

Except where required by law, subscription payments — monthly and annual alike — are nonrefundable. This includes the annual charge for a yearly plan: canceling partway through a paid year stops the next renewal but does not refund the remainder of the current year. OptionKrafter does not provide refunds or credits for partial billing periods, unused subscription time, unused backtests, unused bot slots, unused saved-item capacity, failure to cancel before renewal, changes in personal circumstances, market losses, dissatisfaction with a simulated result, temporary interruptions, or suspension caused by a violation of these Terms.

We will review requests involving duplicate charges, incorrect subscription amounts, charges made after a timely and properly completed cancellation, unauthorized transactions reported promptly, or a material billing-system error caused by OptionKrafter. Approved refunds will normally be returned to the original payment method.

Nothing in this section limits a non-waivable refund or cancellation right provided by applicable law.

21. Taxes

Prices are stated in U.S. dollars and may exclude applicable taxes. You are responsible for sales, use, value-added, or similar taxes associated with your purchase, except taxes based on our net income. OptionKrafter or Stripe may calculate and collect applicable taxes based on your billing information.

22. Acceptable Use

You may use the Service only for lawful personal or internal business analysis. You may not:

Use the Service to violate securities laws or regulations;

Engage in market manipulation;

Use the Service to provide unlicensed investment-advisory or brokerage services;

Claim that OptionKrafter endorses or recommends a strategy;

Present simulated results as verified actual performance;

Share paid account access with unauthorized persons;

Circumvent usage limits;

Scrape, crawl, harvest, or systematically copy the Service;

Redistribute market data;

Reverse engineer or attempt to derive source code except where such a restriction is prohibited by law;

Interfere with the Service;

Introduce malware;

Attempt unauthorized access;

Probe security vulnerabilities without written authorization;

Bypass rate limits or security measures;

Submit unlawful, infringing, deceptive, or harmful content;

Use AI inputs to obtain confidential system information;

Use automated systems outside supported interfaces;

Impersonate another person;

Use another person's payment method without authorization; or

Use the Service in violation of sanctions or export-control requirements.

We may investigate suspected misuse and cooperate with valid legal requests.

23. User Content

“User Content” includes strategy names and descriptions, strategy parameters, ticker selections, screener clauses, watchlists, Krafter Bot rules, AI prompts, feedback, support messages, and other content submitted through the Service.

You retain ownership of your original User Content. You grant SynapseSkytech LLC a nonexclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display, and modify User Content only as reasonably necessary to operate the Service; generate requested results; provide AI-assisted features; maintain security and backups; troubleshoot errors; prevent fraud or abuse; improve Service functionality using aggregated or de-identified information; enforce these Terms; and comply with law.

You represent that you have all rights necessary to submit your User Content.

24. Feedback

When you submit ideas, suggestions, feature requests, or other feedback, you grant SynapseSkytech LLC a perpetual, irrevocable, worldwide, royalty-free right to use, modify, incorporate, commercialize, and otherwise use that feedback without compensation or restriction. This does not transfer ownership of your unrelated proprietary materials.

25. OptionKrafter Intellectual Property

The Service, including its software, interface, workflows, graphics, branding, educational material, compilations, databases, and functionality, is owned by SynapseSkytech LLC or its licensors. It is protected by copyright, trademark, trade-secret, and other applicable laws.

Subject to these Terms, we grant you a limited, personal, revocable, nonexclusive, nontransferable, and nonsublicensable right to access the Service while your account is authorized.

“OptionKrafter,” “Krafter Bots,” associated logos, and related branding are or may be trademarks of SynapseSkytech LLC. You may not use OptionKrafter branding in a way that falsely suggests sponsorship, endorsement, employment, partnership, or affiliation.

26. Third-Party Services

The Service may use third-party providers for cloud hosting and infrastructure, market and reference data, payment processing, authentication, artificial intelligence, email delivery, customer support, error monitoring, security, analytics, advertising measurement, and news or educational content.

These providers may include Stripe, Google, cloud infrastructure providers, market-data vendors, and AI-service providers. Third-party providers operate under their own terms and privacy policies. OptionKrafter is not responsible for third-party outages, data errors, independent conduct, service changes, content, or privacy and security practices outside our control.

27. Data Preservation and Backups

OptionKrafter takes reasonable measures to preserve account information, but the Service is not a permanent archival or backup service. You should maintain independent copies of important exports and configurations.

We do not guarantee that data will never be lost, every activity record will be retained permanently, backups will capture every recent change, deleted content can be recovered, or data will remain available after account termination.

28. Account Deletion

You may request account deletion through the account Settings page, when available, or by emailing [email protected] from the email address associated with your account. We may verify your identity before completing the request.

After verification, we will normally delete or anonymize eligible account information within 90 days. Some information may be retained longer when reasonably necessary for tax and accounting obligations, payment and billing records, fraud prevention, security investigations, dispute resolution, enforcement of these Terms, compliance with law, legal claims, or backup rotation.

Deleting an account is separate from canceling a subscription. You should cancel an active subscription before requesting account deletion.

29. Service Availability and Modifications

We may modify, restrict, suspend, or discontinue any part of the Service. We do not guarantee that the Service will always be available, any feature will remain available, market data will be continuously available, results will always be preserved, every calculation will be accurate, errors will be corrected immediately, or the Service will operate without interruption, latency, data loss, or security incidents.

We may perform scheduled or emergency maintenance. When reasonably practical, we will provide notice of a material change that substantially reduces paid functionality.

30. Beta and Experimental Features

Features identified as beta, preview, early access, test, experimental, or similar may be incomplete or unreliable. Such features may produce incorrect output, change without notice, have limited support, lose stored data, be discontinued, or operate under additional limitations. You use beta and experimental features at your own risk.

31. Suspension and Termination

We may suspend or terminate access when you violate these Terms; payment is overdue; we suspect fraud; your account has been compromised; your activity creates legal, licensing, security, or operational risk; a provider or governmental authority requires access to be restricted; you misuse data; you attempt unauthorized access; or continuing to provide the account is no longer commercially reasonable.

Where reasonable, we will provide notice and an opportunity to address the issue. We may act immediately when necessary to protect users, data, providers, systems, or legal compliance. Termination ends your right to access the Service. Provisions concerning ownership, payment obligations, disclaimers, liability, indemnification, and disputes survive termination.

32. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

SYNAPSESKYTECH LLC, OPTIONKRAFTER, AND THEIR AFFILIATES, LICENSORS, DATA PROVIDERS, PROCESSORS, OFFICERS, EMPLOYEES, AND CONTRACTORS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.

WE DO NOT WARRANT THAT MARKET DATA WILL BE ACCURATE; BACKTESTS WILL BE COMPLETE; SIMULATED FILLS WILL BE REPRODUCIBLE; AI OUTPUT WILL BE CORRECT; KRAFTER BOTS WILL OPERATE WITHOUT ERROR; ANY STRATEGY CAN BE EXECUTED IN A REAL ACCOUNT; ANY STRATEGY WILL BE PROFITABLE; OR THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

Some jurisdictions do not permit certain warranty disclaimers, so portions of this section may not apply to you.

33. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNAPSESKYTECH LLC, OPTIONKRAFTER, AND THEIR AFFILIATES, LICENSORS, DATA PROVIDERS, PROCESSORS, OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, INVESTMENT VALUE, TRADING OPPORTUNITIES, REVENUE, DATA, GOODWILL, BUSINESS, USE, OR EXPECTED SAVINGS.

OPTIONKRAFTER IS NOT LIABLE FOR REAL OR HYPOTHETICAL TRADING LOSSES, INVESTMENT DECISIONS, MISSED TRADES, TAX CONSEQUENCES, MARGIN CALLS, ASSIGNMENT, EXERCISE, DATA ERRORS, MODEL PRICES, DELAYS, OR ACTIONS TAKEN BASED ON THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (1) THE AMOUNT YOU PAID DIRECTLY TO OPTIONKRAFTER DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (2) FIFTY U.S. DOLLARS.

These limitations do not apply to liability that cannot lawfully be excluded or limited.

34. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless SynapseSkytech LLC, OptionKrafter, and their officers, employees, contractors, affiliates, licensors, data providers, and service providers from claims, liabilities, damages, losses, penalties, judgments, costs, and reasonable attorneys' fees arising from your unlawful use of the Service, violation of these Terms, User Content, violation of another person's rights, misuse or redistribution of market data, provision of financial services to a third party using the Service, or representation of simulated results as actual performance.

We may assume control of the defense of a covered matter, and you agree to reasonably cooperate.

35. Informal Dispute Resolution

Before filing a legal claim, you agree to send a written notice to [email protected]. The notice must describe your name and account email, the nature of the dispute, the facts supporting your position, and the relief you are requesting.

The parties will attempt in good faith to resolve the dispute informally for at least 30 days after receipt of the notice. Either party may seek urgent injunctive or equitable relief relating to unauthorized access, security, intellectual-property infringement, or misuse of data without completing the informal process.

36. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Unless applicable law requires otherwise, legal proceedings arising from these Terms or the Service must be brought exclusively in the state or federal courts with jurisdiction over Williamson County, Texas. You and SynapseSkytech LLC consent to the personal jurisdiction and venue of those courts.

37. Export Controls and Sanctions

You may not access or use the Service in violation of United States export-control or economic-sanctions laws. You represent that you are not prohibited from using the Service under applicable sanctions, are not located in a jurisdiction where access is prohibited by United States law, and will not make the Service available to a prohibited person or entity.

38. Electronic Communications

You consent to receive agreements, receipts, disclosures, security alerts, subscription notices, and other account communications electronically. Transactional messages may include account verification, password or login messages, billing confirmations, renewal or cancellation information, security notices, material Terms or Privacy Policy changes, Service interruptions, and support responses.

Transactional messages are not marketing communications and may be sent even when you opt out of promotional messages.

39. Changes to These Terms

We may update these Terms. When a change is material, we will provide notice through the Service, by email, or through another reasonable method. The updated Terms will include a revised effective date.

Your continued use after the updated Terms become effective constitutes acceptance, except when applicable law requires affirmative consent. Material subscription-price changes will apply only after legally sufficient advance notice.

40. General Provisions

These Terms and the Privacy Policy constitute the entire agreement between you and SynapseSkytech LLC regarding the Service, except for additional terms you expressly accept.

If a provision is found unenforceable, it will be modified to the minimum extent necessary or severed. The remaining provisions will continue in effect. Our failure to enforce a provision is not a waiver.

You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, financing, asset transfer, or change of control.

These Terms do not create an agency, employment, fiduciary, partnership, or joint-venture relationship. Section headings are for convenience only.
